1. Agreement to Terms

By accessing or using Erdens Danışmanlık's platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service. These Terms apply to all visitors, users, and others who access or use the Service.

2. Description of Service

Erdens Danışmanlık provides a comprehensive content management platform designed for content creators across multiple social media platforms including TikTok, Instagram, and YouTube. Our Service includes video analytics, performance tracking, earnings management, and administrative tools to help content creators and agencies manage their operations efficiently.

3. User Accounts

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account.

You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password. You agree not to disclose your password to any third party and to notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

We reserve the right to refuse service, terminate accounts, or remove or edit content in our sole discretion.

4. User Content and Conduct

Our Service allows you to upload, submit, store, send, or receive content. You retain ownership of any intellectual property rights that you hold in that content. When you upload content to our Service, you grant us a worldwide, non-exclusive, royalty-free license to use, host, store, reproduce, modify, and distribute such content solely for the purpose of operating and providing the Service.

You agree not to engage in any of the following prohibited activities:

• Violating laws and regulations
• Infringing upon the intellectual property rights of others
• Uploading malicious code, viruses, or any other harmful software
• Attempting to gain unauthorized access to the Service or related systems
• Engaging in any form of automated data collection or scraping

5. Payment and Billing

Content creators ("Clippers") who use our platform may be eligible for earnings based on video performance metrics. Payment terms, rates, and schedules are determined by individual agreements and may vary based on performance and other factors.

All payment requests must comply with our payment policies. We reserve the right to withhold or refuse payment for any content that violates these Terms or our content policies. Payment processing may take up to 30 business days from the date of approval.

Any disputes regarding payments must be raised within 60 days of the payment date in question.

6. Intellectual Property

The Service and its original content (excluding user-generated content), features, and functionality are and will remain the exclusive property of Erdens Danışmanlık and its licensors. The Service is protected by copyright, trademark, and other laws of both Turkey and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Erdens Danışmanlık.

7. Third-Party Services

Our Service may contain links to third-party websites or services (including but not limited to TikTok, Instagram, and YouTube) that are not owned or controlled by Erdens Danışmanlık. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that Erdens Danışmanlık shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of any such third-party content, goods, or services.

8. Disclaimer of Warranties

The Service is provided on an "AS IS" and "AS AVAILABLE" basis. Erdens Danışmanlık makes no warranties, expressed or implied, regarding the Service, including but not limited to:

• Accuracy, reliability, or completeness of any content or data
• Uninterrupted or error-free operation
• Freedom from viruses or other harmful components
• Results that may be obtained from the use of the Service

9. Limitation of Liability

In no event shall Erdens Danışmanlık, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

10. Indemnification

You agree to defend, indemnify, and hold harmless Erdens Danışmanlık and its licensors, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your content caused damage to a third party.

11. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the Republic of Turkey, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of Istanbul, Turkey.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
